ORDER:

The purchaser does not have the right to transfer this contract to a third party without the express and written consent of the seller. Any order on www.umc-vans.com is firm and final, and valid only for the product specified on the sales contract. The vehicle mileage stated is that which appeared at the time when the seller acquired the vehicle. It has been transferred to the purchase order.

RESPONSIBILITY OF THE PURCHASER:

As of the delivery of the vehicle, the purchaser takes responsibility for all risk of loss and damage. The purchaser agrees not drive the vehicle on public roads before having the vehicle licensed and acquiring the minimum legal insurance coverage.

DELIVERY:

The seller will deliver the vehicle to the location and on the date indicated on the contract (which will be sent by mail). The delivery time may be prolonged, by the buyer or the seller in the event of a natural or personal disaster. The normal delivery period will resume once the event that caused the delay has concluded. In this case, the delivered vehicle will be in the same state as before the event.

CANCELLATION:

The purchaser agrees to take delivery of the ordered vehicle, at the sellers’ location (unless otherwise stated on the sales contract) within the 10 days following the delivery date. After this deadline and 8 days after the date of reception of notice by registered letter, the deposit payment becomes, without exception, non-refundable. Because of the variety of the circumstances which can influence the preparation time for a vehicle, the delivery date given is an indication only; however the seller will do everything possible to deliver the vehicle on or prior to this date. Regardless, the seller agrees to deliver the vehicle within the 10 days following this date. After this deadline and 8 days after notice by registered letter, the order will be automatically cancelled. In the case of this cancellation, the purchaser will be reimbursed in full for the deposit and all other payments made. For both parties, a disaster justifies the cancellation of the contract and the reimbursement of the deposit.

FINANCING:

If the purchaser will need financing in order to purchase the vehicle, the sale will be subject to the French law 78.22 of January 10, 1978, modified by law n° 89421 of June 23, 1989.

TRANSFER OF OWNERSHIP:

The seller will take full advantage of the provisions offered by law 80.335 of May 12, 1980 and n° 85-98 of January 25, 1985, which the purchaser understands and accepts, principally, the fact that the legal ownership of the vehicle will not be transferred to the purchaser until the day that the seller has received payment in full of the vehicle price.

SECURITY CHECK:

The seller will perform the legally required security inspection on all used vehicles including:

- Suspension system

- Steering system

- Braking system

- Lighting system

- Tires

This inspection will ensure that the fore mentioned systems will conform to French Highway Code regulations.

SELLER’S LEGAL GUARANTEE:

All vehicles sold on www.umc-vans.com are guaranteed by the seller for all consequences of hidden defects according to the terms of article 1641 and including the guidelines of the French civil code.

COMPLEMENTARY GUARANTEE:

Any complementary guarantee will be mentioned on the purchase order and its conditions will be specified in the guarantee booklet provided at delivery, and signed by both parties.

DISPUTES:

Any disagreement relative to the execution of the order placed by the purchaser, which can not be solved amicably between the parties, will be resolved by the courts, and in the jurisdiction of the head office of the seller’s establishment. If the purchaser is a professional, he agrees to resolve the dispute in the jurisdiction of the head office of the seller’s establishment. If the purchaser’s dispute relates to the seller’s legal guarantee, the purchaser agrees to address the courts as soon as possible following the discovery of the hidden defect.
